Our attorneys help our clients with complexities of dealing with governments in emerging markets (as well as in the U.S.) from both an international and U.S. regulatory perspectives.

Compliance with U.S. Sanctions against Myanmar
  • Interpret legislative and executive branch sanctions, and OFAC applications to relevant transactions
  • Advise on reportable issues, and prepare reports
  • Counsel on OFAC’s licensing process
  • Undertake compliance audits and provide assessments with specific recommendations to eliminate areas which could create violations or conflicts of interest
  • Provide compliance and ethics training specific to Myanmar, and including FCPA, the UK Bribery Act of 2010, the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions, as well as on the provisions of the Myanmar anti-corruption legislation, which include the Penal Code (1861), the Suppression of Corruption Act (1948), and the just passed by the Hluttaw “Corruption Eradication Law.”
  • Assist trading clients in compliance with certifications of origin, Buy American Act, product performance, quality assurance, U.S. Export Controls and Exon-Florio.
Government Transactions
  • Undertake due diligence regarding potential business partners
  • Draft and negotiate contracts with government agencies and agents
  • Model detailed cost structures which will outline the permissible allocations of costs, performance or progress payments, setoffs, etc.
  • Advise on export control issues
  • Implement compliance audits and training
  • Advise and represent companies in criminal, civil and/or administrative hearings
