Myanmar is in the process of enacting major legislative changes which will impact, directly or indirectly, every aspect of life, including banking and financial services. HRMR’s Banking and Financial Services Practice group, which includes professionals from our Governmental Affairs Practice, interact on a regular basis with members of the government and the legislature, so that HRMR can provide our clients with strategic analysis, planning and interpretation of legislation and implementing regulations. Our expertise in the local market combines the experience of local banking and the knowledge of capital markets and financial services in the ASEAN region.

H&R attorneys, and those in its affiliated offices, represent commercial banks, public and private investment funds, finance companies, brokerage firms, investment and merchant banking firms, as well as borrowers and issuers of securities, in a wide range of transactions. These transactions involve letters of credit, as well as other credit enhancing devices, note purchase agreements, sale purchase agreements, project financing agreements, secured and unsecured loan agreements, structured receivables, asset-backed securities transactions, currency swaps and other derivative products, various industry financings, as well other acquisition financing arrangements.   • Leasing arrangements for investors involved in mining and oil exploration concessions, industrial manufacturing and trade industries.
  • Financings of various businesses in South Africa through access to the international debt capital markets.
  • International term and revolver loans and lines of credit for financial institutions in several countries.

H&R attorneys provide counsel to some of the world's largest investment banking firms in transactions involving municipal and corporate bond offerings, privatizations, debt and equity acquisitions and institutional investment strategies. H&R lawyers have also advised private companies, government and quasi-governmental agencies and securities and commodities exchanges regarding regulatory issues, currency swaps, corporate governance and fiduciary issues. H&R attorneys counsel includes:

  • Acting as international counsel for the Ministry of Transportation of Romania in regard to securitized and non-securitized bond offerings on European national markets.
  • Concluding a major foreign currency swap after an issuance of Samurai bonds on the world market.
  • Obtaining the requisite approvals and licenses necessary for a number of our clients to commence banking operations in emerging markets.
  • Advising the New York Mercantile Exchange in connection with the establishment of a new currency futures trading floor in Dublin, Ireland.
  • Acting as General Counsel to the Bucharest Stock Exchange during its first year of operation.
  • Advising listed companies on the emerging markets’ stock exchanges in regard to compliance issues and stockholder matters.
  • Developing the policy framework; drafting the legislation necessary for the conversion of private ownership funds into mutual funds; assisting the International Monetary Fund with respect to the implementation of a secondary securities market.

In addition to counseling financial institutions in their current operations, H&R attorneys have participated in the formation and expansion of such institutions, including the formation of banks, bank holding companies and the creation of branch offices and subsidiaries. Although foreign banks cannot yet engage in traditional banking transactions in Myanmar, H&R attorneys have the necessary experience in other countries to navigate the waters of obtaining relevant approvals, licenses and other requisite material from state authorities. When the legislation enabling direct investment and operations by foreign banks in Myanmar is enacted, HRMR attorneys will have the on-the-ground experience to assist their clients as competent, experienced counsel.
